Kaku Terms of Use
Last updated: October 12, 2026 Version: 1.4
This English version is a translation of the original Spanish text, which prevails in the event of any discrepancy unless this version is more favorable to a User who is a consumer (Section 19.6).
1. Service Owner and Acceptance of the Terms
1.1. Service Owner
The "Kaku" service (hereinafter, "Kaku", the "Platform" or the "Service") is provided by:
- Company name: Axis Software Solutions, S.L.
- Tax ID (NIF): B05614516
- Registered office: Avenida del Oeste, 24, planta 4, puerta 11, 46001 Valencia, Valencia, Spain
- Contact email: hello@kaku-app.site
- Contact telephone: +34 680 300 658
- Registration details: Commercial Registry of Valencia, Sheet V-237783, 1st Entry
"Kaku" is the trade name under which Axis Software Solutions, S.L. (hereinafter, the "Company") offers the Platform, accessible at kaku-app.pro.
1.2. Purpose
These Terms of Use (the "Terms") govern access to and use of the Platform, as well as the contractual relationship between the Company and any natural or legal person who registers for or uses the Service (the "User").
1.3. Acceptance
Registering an account, purchasing any plan or using the Platform implies full and unreserved acceptance of these Terms in the version in force at any given time. If the User does not agree with them, the User must refrain from using the Service.
The User is advised to read these Terms before registering and to keep a copy.
1.4. Capacity
To use the Platform, the User represents that they are of legal age and have full legal capacity to enter into binding obligations. Where the User acts on behalf of a business or other entity, the User represents and warrants that they have sufficient authority to bind it to these Terms, in which case "User" refers to that entity.
1.5. Consumers and Businesses
The Platform is aimed both at professionals and businesses and at consumers. Certain clauses apply only to those who contract as consumers (within the meaning of Royal Legislative Decree 1/2007 on Consumers and Users), such as the right of withdrawal (Section 6.2) or the legal guarantee of conformity (Section 14.6), and this is expressly indicated in each case. Conversely, some clauses apply only to those who contract as professionals or businesses (Section 14.4).
1.6. Documents Forming Part of the Agreement
The following form part of the contractual relationship, together with these Terms:
- The Data Processing Agreement (Annex I).
- The information on plans, prices and quotas in force at the time of purchase.
- Any specific conditions that the Company communicates for particular features.
In the event of conflict between these Terms and specific conditions, the latter shall prevail with respect to the feature they govern.
The purchase of paid Plans and add-on packs is also governed by Link's purchase terms, which the User accepts on the payment page (Section 5.6).
The Privacy Policy explains how personal data is processed. It is not a contract to be accepted: it provides information, and it applies together with these Terms.
1.7. Contracting Process
The contract is concluded online, in Spanish or in English, following these steps:
- The User creates an Account and accepts these Terms.
- From their Account (the subscription page or the notice of exhausted credits), the User chooses a paid Plan, with its monthly or annual billing option, or an add-on pack.
- The Platform takes the User to Link's payment page (Section 5.6), where the User sees the final price including any taxes that apply and can review and correct their details before confirming the purchase.
- Once payment is confirmed, the Company sends the User an email confirming the purchase, with the contract information and a link to these Terms.
The Company keeps a record of the version of these Terms that the User accepted and of the date on which they did so; the User may request a copy of that version at any time.
2. Definitions
For the purposes of these Terms, the following terms shall have the meaning indicated:
- Platform / Service / Kaku: the set of artificial intelligence-based SEO tools accessible through kaku-app.pro and, where applicable, through the Plugin.
- User: the natural or legal person who registers for and/or uses the Platform.
- Account: the User's personal registration on the Platform, protected by access credentials.
- Site: each WordPress installation owned by the User (or for which the User holds authorization) that is connected to the Platform.
- Plugin: the WordPress software add-on that the Company makes available to the User and that acts as the Platform's agent within the Site.
- Plan: the subscription option purchased by the User (e.g. Free, Starter, Pro or Agency), which determines the available features and the Quotas.
- Quota: the number of uses available each month for each feature subject to a limit.
- Add-on pack: a package of additional uses purchased on a one-off basis to extend a Quota.
- Tools: the Platform's SEO features described in Section 3.
- Generated Content: the texts, metadata, descriptions, translations, suggestions, image alternative texts and other output produced by the Platform by means of artificial intelligence based on the User's instructions.
- User Content: the data, texts, credentials, instructions (prompts) and other materials that the User enters into the Platform or that the Platform obtains from the User's Sites.
- Integration: the connection authorized by the User between the Platform and a third-party service (e.g. Google Search Console).
- AI providers / third parties: the external providers on which the Service depends, such as artificial intelligence models, SEO data providers and the payment gateway.
3. Description of the Service
3.1. Nature of the Service
Kaku is a SaaS (software as a service) platform that allows the User to connect their WordPress Sites and run artificial intelligence-assisted search engine optimization (SEO) tools on them. Access is through the browser, with no need to install any software other than the Plugin on the User's Site.
3.2. Available Tools
The Platform's features include, among others and depending on the Plan purchased:
- AI article generation (individual, bulk and scheduled).
- Meta tag optimization (Yoast / Rank Math / AIOSEO / SEOPress).
- Internal linking optimization (analysis, broken links, orphan pages, and link and anchor suggestions).
- Translation of blog posts (Polylang / WPML).
- Updating of existing posts, with review and dismissal of each proposed change before it is published.
- Image optimization (alternative text, including multilingual, and compression).
- SEO optimization of WooCommerce products.
- SERP-based competitor analysis.
- Google Search Console metrics and insights (performance, keyword cannibalization, opportunity detection and CTR optimization).
The Company may add, modify or withdraw Tools in accordance with Sections 5.11 and 13.5.
3.3. The Plugin as the Service's Agent
To operate on a Site, the User must install the Plugin on their WordPress installation and connect it to the Platform. The Plugin acts as an agent that performs actions on the Site on the User's behalf and following the User's instructions from the Platform, such as creating or modifying posts and pages, writing meta tags, applying linking suggestions, optimizing images or products and synchronizing taxonomies.
The User acknowledges that these actions modify the content of their Site. The conditions relating to ownership of the Site, backups and liability for such modifications are set out in Section 8.
3.4. Use of Artificial Intelligence
Certain Tools generate output by means of artificial intelligence systems, of which the User is expressly informed. Generated Content is produced automatically and is subject to the limitations, warranties and liabilities described in Section 9.
3.5. Technical Requirements
Use of the Service requires, at a minimum: an internet connection, an up-to-date web browser, a valid account on the Platform and, for the Tools that operate on Sites, a WordPress installation compatible with the current version of the Plugin. The User is responsible for keeping the Plugin updated when the Platform requires it.
4. Registration, Account and Security
4.1. Registration
Use of the Tools requires the creation of an Account. The User undertakes to provide truthful, accurate and up-to-date information during registration and to keep it so for as long as the relationship lasts. The Company may refuse or cancel the registration where the data is false, incomplete or belongs to a third party without authorization.
4.2. Access Credentials
The User is responsible for the safekeeping and confidentiality of their access credentials (username and password) and for all actions carried out through their Account. The User must notify the Company, without delay, of any unauthorized use or suspected compromise of their Account at hello@kaku-app.site.
The Company makes additional security mechanisms available to the User, such as two-step verification, the use of which is especially recommended.
4.3. API Key
Each Account is assigned an API key (api_key) that allows the Plugin installed on the User's Sites
to communicate with the Platform. This key is to be treated as a secret credential: the User is
responsible for its safekeeping and for the actions executed by means of it, and must keep it
protected in their WordPress installations.
4.4. Accuracy and Updating of Data
The User warrants the accuracy of the data provided, in particular the billing and tax data that they enter on the payment page (name or company name, address, country and, where applicable, tax identification number). The User is solely responsible for any errors, surcharges or consequences arising from incorrect or outdated tax data.
4.5. Account Verification
The Company may require verification of the User's email address as a condition for accessing certain features.
4.6. Uniqueness and Use of the Account
Unless expressly authorized, each User shall have a single Account. The Account is personal and non-transferable; the User may not assign it, resell it or allow its use by third parties beyond what is provided for in the purchased Plan.
5. Plans, Quotas, Add-on Packs and Billing
5.1. Plans
Access to the Tools is organized into subscription Plans. There is a free plan ("Free") without a monthly Quota, and paid plans (currently Starter, Pro and Agency) with Quotas and additional features. Paid plans may be purchased with monthly or annual billing; the annual option applies the price published for that period. The content of each Plan in force is published on the Platform.
The free plan includes single-use welcome credits, which are granted upon completing the connection of a Site and are not renewed. They are granted only once per Account and only once per domain: a domain that has already obtained them does not obtain them again, even if it is connected from another Account.
5.2. Quotas
Each feature subject to a limit has a monthly Quota associated with the Plan. Quotas:
- Reset every month, when one month has elapsed since the start of the User's billing period; on annual Plans, also every month within the contracted year.
- Are consumed only when the operation is completed successfully.
- Do not accumulate: uses of the monthly Quota not consumed in one month are not carried over to the next.
- May be unlimited or not included, as indicated for each Plan (a value of zero means that the feature is not available on that Plan).
The Company may grant additional uses at its discretion. Those uses, the welcome credits and the uses of add-on packs do not expire with the period and are consumed once the monthly Quota has been exhausted.
5.3. Add-on Packs
The User may purchase, on a one-off basis, packages of additional uses ("add-on packs") to extend a specific Quota. The uses of an add-on pack do not expire for as long as the Account exists, and are consumed after the Plan's monthly Quota. Add-on packs are governed by the quantity conditions published at the time of purchase and are available only on the Plans that allow them.
5.4. Site Limit
Each Plan sets a maximum number of simultaneously connected Sites. This is a stock limit, not a monthly counter. If the User downgrades to a Plan with a limit lower than the number of Sites they already had connected, the User will keep those Sites, but will not be able to connect new ones until they are below the new Plan's limit.
5.5. Prices, Taxes and Currency
Prices are those published on the Platform at the time of purchase. They are displayed and charged in euros (EUR) to those connecting from a country that uses the euro, in pounds sterling (GBP) to those connecting from the United Kingdom and in U.S. dollars (USD) in all other cases; the country is inferred from the IP address or, where that is not possible, from the browser's regional settings. The amount in each currency is set by the Company for that currency and is not the result of applying an exchange rate, so prices in different currencies are not necessarily equivalent to one another. If a Plan or an add-on pack has no price in the User's currency, it is charged in U.S. dollars.
Once a subscription has been purchased, the Account remains in the currency in which it was purchased, and both the subscription and any add-on packs purchased afterwards are charged in that currency. If the currency assigned to the User is not the one that corresponds to them, they may request its correction through the contact channels, provided they do not have an active subscription. Any currency conversion fees charged by the issuer of the User's means of payment are outside the Company's control.
They are prices exclusive of taxes: at the time of payment, the applicable indirect taxes (e.g. VAT) are added, calculated by Link in accordance with Section 5.6 on the basis of the billing data that the User enters on the payment page.
Changes to prices are governed by Section 5.11.
5.6. Purchase through Link and Means of Payment
Paid Plans and add-on packs are purchased through Stripe Managed Payments. In those purchases,
Sold through Link, LLC ("Link"), a subsidiary of Stripe, acts as merchant of record and
reseller: it is the party that charges the User, calculates and passes on the taxes, issues the
invoice and handles refunds and disputes, in accordance with its own purchase terms (available at
link.com/terms). On the bank statement, the charge appears as LINK.COM* KAKU. The Company remains
the party that provides the Service and is liable for it to the User under these Terms.
By purchasing a paid Plan or an add-on pack, the User authorizes the corresponding charge and, in the case of subscriptions, the recurring charges at each renewal. Card or other payment method data is processed by Stripe directly on its payment page; the Company has no access to it.
5.7. Automatic Renewal
Subscriptions renew automatically at the end of each period (monthly or annual) for an equivalent period, unless canceled beforehand by the User in accordance with Section 6. The renewal charge is made at the start of the new period. On annual Plans, the Company notifies the User by email fifteen (15) days before the renewal, stating its date, the Plan and its amount—or, if a Plan change is scheduled, the Plan to which the subscription will move—and how to cancel it.
5.8. Invoicing and Taxes
The invoice for each charge is issued by Link, in its own name, and sent to the User together with the payment receipts. The Company does not issue its own invoice for those charges. For the invoice and the tax to be correct, the User must enter complete and accurate billing data on the payment page, and is responsible for its accuracy.
5.9. Non-payment
Failure to pay a renewal or any amount due shall entitle the Company to suspend access to the paid features and/or downgrade the Account to the free plan, without prejudice to the right to claim the amounts owed. The Company may retry the charge through the payment provider for a reasonable period before applying such measures.
5.10. Plan Changes
The User may change Plans at any time. Plan upgrades may take effect immediately, with the corresponding amount adjustment; Plan downgrades may be scheduled for the start of the next period. The applicable Quotas and features will be those of the Plan in force at any given time.
5.11. Reservation of the Right to Modify Plans, Quotas and Prices
The Company may modify the composition and availability of the Plans, the Quotas and features associated with each of them and their prices, as well as create, rename, merge or withdraw Plans and adjust the limits of any feature, for any of the following reasons: changes in the costs or in the terms of the providers on which the Service depends (artificial intelligence, data, infrastructure or payments), legal or regulatory changes, security reasons or the technical evolution of the Service.
Modifications that are detrimental to an ongoing subscription—a price increase, a reduction of Quotas or the withdrawal of a feature included in the purchased Plan—will be communicated to the User by email at least thirty (30) days in advance and will apply from the next renewal, without affecting the period already paid. A User who does not accept them may cancel their subscription before that renewal, at no cost (Section 6.1).
Improvements, and changes to the free plan, to the catalog of add-on packs or to Plans that the User has not purchased, take effect from their publication on the Platform.
6. Cancellation, Refunds and Right of Withdrawal
6.1. Cancellation by the User
The User may cancel their subscription at any time from their Account on the Platform, or from their Link account (link.com). Cancellation takes effect at the end of the current billing period: the User retains access to their Plan until that date and no new charges are generated thereafter. Except as provided in Sections 6.2 and 6.3 and in applicable consumer legislation, cancellation does not entitle the User to a refund of the period already paid.
Deleting the Account cancels the subscription immediately, without a refund of the current period (Section 16.1).
6.2. Right of Withdrawal (Consumers)
If the User contracts as a consumer, they have a period of fourteen (14) calendar days from the time they have access to the purchased Plan or add-on pack to withdraw from the purchase without giving any reason and obtain a refund.
As the purchase is made through Link (Section 5.6), withdrawal is requested from Link's support (support.link.com), stating "cooling off period" as the reason, in accordance with its purchase terms; the User may also notify the Company of the withdrawal at hello@kaku-app.site or by post to the address in Section 1.1, and the Company will process it. To do so, the User may use the model withdrawal form in Annex II, although this is not mandatory: any unequivocal statement of their decision to withdraw is sufficient. The refund is made by Link.
6.3. Refund Policy
In addition to withdrawal, Link grants refunds in accordance with its own refund policy, which prevails over this section where it is more favorable to the User (for example, in the event of an unauthorized charge or a service not received, within sixty (60) days following the purchase).
A refund of an add-on pack, by any of those means, removes from the Account the uses of the pack that have not yet been consumed: all of them, if the full amount is refunded; and, if part of it is refunded, those necessary to cover the refunded part, to the extent of those remaining.
Outside those cases and those imposed by law, the amounts paid are non-refundable, including those corresponding to periods already started, add-on packs purchased and renewal charges. The Company may, at its sole discretion, grant refunds or credits in specific cases, without this giving rise to any right for the future.
The Company may refuse new purchases or subscriptions from a User who has repeatedly obtained refunds. That measure does not affect access to the Account or what has already been purchased, nor does it limit the rights that the law grants the User in respect of each purchase.
6.4. Free Plan and Trials
Use of the free plan does not involve any payment and, therefore, no right to a refund. Where the Company offers trial periods or promotional offers, their specific conditions shall prevail over this section.
7. Acceptable Use and Prohibited Conduct
7.1. Lawful Use
The User undertakes to use the Platform diligently, in accordance with the law, these Terms, good faith and public order, and not to use it for unlawful purposes or purposes harmful to the rights of third parties.
7.2. Prohibited Conduct
The following are expressly prohibited, by way of example and without limitation:
- Generating, storing or publishing through the Service content that is unlawful, defamatory, misleading or fraudulent, that incites hatred or violence, that is of a sexual nature involving minors, or that infringes the rights of third parties, including intellectual or industrial property rights, image rights or data protection rights.
- Using the Tools on Sites that the User does not own or that the User is not duly authorized to operate on.
- Attempting to gain unauthorized access to the Platform, to other users' accounts or to their systems; breaching or circumventing security measures, authentication, Quota limits or rate-limiting mechanisms (throttling).
- Carrying out reverse engineering, decompiling or attempting to extract the source code of the Platform or the Plugin, except to the extent that the law mandatorily permits it.
- Engaging in practices of extraction or replication of artificial intelligence models (model extraction), or using the Service or its output to develop or train products or models that compete with the Platform.
- Reselling, sublicensing, redistributing or commercially exploiting the Service vis-à-vis third parties beyond what is permitted by the purchased Plan.
- Introducing or spreading viruses, malware or other harmful code, or carrying out actions that overload, damage or impair the infrastructure or the normal operation of the Service.
- Impersonating third parties or using another person's credentials or payment data without authorization.
- Using the Service to send unsolicited communications (spam) or for any practice contrary to applicable law.
7.3. Compliance with Third-Party Guidelines
The User is solely responsible for ensuring that their use of the Service and of the Generated Content complies with the guidelines and policies of the search engines and other third-party platforms on which it has an impact. The Company does not control those policies and is not liable for the decisions that those third parties take regarding the User's Sites (see Section 9).
7.4. Consequences of Breach
Breach of this section shall entitle the Company to remove the affected content, as well as to suspend or cancel the Account in accordance with Section 16, without prejudice to any legal action that may be appropriate.
7.5. Notice of Unlawful Content
Any person may notify the Company, at hello@kaku-app.site, of content hosted on the Platform that they consider unlawful, indicating where it is located, why they consider it unlawful and their contact details. The Company will examine each notice diligently, without automated decision-making systems, and will inform the person who submitted it of its decision. If the Company removes content or restricts an Account for this reason or for breach of this section, it will inform the affected User of the measure taken and the reasons for it, and the User may reply to that same email to request a review.
8. Connecting WordPress Sites and the Plugin
8.1. Ownership of and Authorization for the Site
By connecting a Site, the User represents and warrants that they own it or have sufficient authorization from its owner to install the Plugin and for the Platform to perform actions on it. The User shall hold the Company harmless against any claim arising from the lack of such ownership or authorization (see Section 15).
8.2. Plugin License
The Company grants the User a limited, non-exclusive, non-transferable and revocable license to install and use the Plugin on their Sites, for the duration of the relationship and for the sole purpose of using the Service. The Plugin forms part of the Service and is protected by Section 11.
8.3. Actions on the Site
The User acknowledges and accepts that, following their instructions from the Platform, the Plugin modifies the content and configuration of their Site (creation and editing of posts, pages, meta tags, links, images, products, taxonomies, translations, etc.). The User authorizes these actions and is responsible for deciding which changes are applied and published.
8.4. Backups
The User is solely responsible for making and keeping backups of their Site before any change is applied. Any rollback or restore functions that the Platform may offer are provided on a best-effort basis and do not replace the User's backups. The Company is not liable for the loss, alteration or unavailability of the Site's content arising from use of the Service.
8.5. Plugin Updates
The User must keep the Plugin updated to the current version. Certain features may be blocked while the Plugin is outdated, until the update is completed. The Company may publish Plugin updates (including security updates) and make mechanisms available for installing them.
8.6. The User's Environment
The User is responsible for their own WordPress environment: hosting, WordPress and PHP versions, configuration, security and compatibility with other themes or plugins. The Company is not liable for incidents arising from the User's environment, from the unavailability of their Site or from conflicts with third-party software unrelated to the Service.
9. AI-Generated Content: Ownership, Accuracy and Liability
9.1. Ownership of Generated Content
As between the parties, and subject to compliance with these Terms and payment of the corresponding Plan, the Generated Content produced for the User belongs to the User, who may use, modify and publish it. The User grants the Company a limited license to process such content to the extent necessary to provide the Service to the User.
The User acknowledges that Generated Content is produced automatically and that identical or similar output may be generated for other users, without this breaching these Terms. The Company does not warrant that Generated Content is eligible for intellectual property protection; the consequences of this are detailed in Section 9.8.
9.2. User Content
The User retains the rights to User Content (the data, instructions, texts and materials that the User provides). The User grants the Company a non-exclusive license, limited to the duration of the relationship, to process it for the sole purpose of providing the Service. The User warrants that they hold the necessary rights to such content.
9.3. No Warranty of Accuracy or Originality
Generated Content may be inaccurate, incomplete, outdated or unsuitable for a specific purpose, and could match or resemble third-party content. It does not constitute professional advice (legal, tax, medical or otherwise). The User should not rely on it without prior verification.
9.4. No Warranty of SEO Results
The Company does not guarantee any result in terms of ranking, traffic, indexing, conversions or any other metric. Search engines and platforms are independent third parties with their own policies; content generated by AI could be subject to penalties, deindexing or other decisions on their part. The User assumes that risk.
9.5. Responsibility for Review and Publication
The User is responsible for thoroughly reviewing and verifying the Generated Content—as well as the translations and any other content or change managed by the Platform on their Sites (meta tags, links, images, products, etc.)—before using, applying or publishing it. The person or business that publishes or applies the content is responsible for it vis-à-vis third parties and the authorities, including verifying its lawfulness, accuracy, quality and respect for the rights of third parties.
9.6. Third-Party AI Providers
AI features are provided, wholly or partly, through external artificial intelligence providers. The processing carried out by those providers is also governed by their own terms, in accordance with Section 10.
9.7. Use of Data for Training
The Company does not use User Content to train its own artificial intelligence models. The third-party AI provider (currently, Google's paid Gemini API) does not use it to improve its products or to train its models either, according to its terms of service. How it processes the data, and how to exclude content from AI processing, are detailed in Section 5.1 of the Privacy Policy.
9.8. Authorship of Generated Content Once Published
Generated Content is produced by a third party's automated system based on the User's instructions. The Company is not the author of such content, does not appear as such, does not endorse it and claims no authorship or moral right whatsoever over it. Nor does it review, approve or supervise it before the User uses it.
Publishing it amounts to assuming its authorship vis-à-vis third parties. When the User publishes Generated Content on their Site—under their domain, their brand or their byline—they place themselves, vis-à-vis third parties and the authorities, in the position of author of, or person editorially responsible for, that text, with all the consequences that this entails. The decision to publish it, and the decision to do so under a particular byline, are exclusively theirs.
It may be content without a protected author. Intellectual property law protects works created by a natural person. A text produced automatically, without sufficient human creative contribution, might not meet the requirements for protection in Spain or in other jurisdictions. In that case, the User might not be in a position to prevent third parties from reusing it, or to claim it as their own work. The Company does not guarantee any outcome on this point and is not liable for the legal classification given to the Generated Content.
Attributing it to a specific person is the User's responsibility. If the User signs the content with a person's name, assigns professional authorship to it or presents it as the work of an expert, the User is responsible for ensuring that such attribution is truthful and lawful, including any sector-specific requirements to identify a real or qualified author—among others, in health, legal, financial or advertising matters.
Disclosing that the content has been generated with AI, where applicable law or the destination platform requires it, is likewise the User's responsibility, and the User must check and comply with those obligations before publishing.
9.9. Transparency about the Use of Artificial Intelligence
Generated Content is produced by an artificial intelligence system, based on the User's instructions and without human intervention by the Company. This is declared in these Terms, in the description of the Service and in the information accompanying each tool.
Content marking. The Plugin, in its current version, marks as generated or edited with
artificial intelligence the content that it writes on the Site on the User's behalf: generated
articles, translations, updated posts and optimized product pages carry the mark in the post itself
and, on their public page, as machine-readable data (the schema.org digitalSourceType property,
using the IPTC digital source type vocabulary). Generated images carry the mark in the media library
and, in addition, the SynthID watermark embedded by the Google model that produces them. Meta tags
and image alternative texts, which are not part of the page's visible content, are not marked, nor
are the sentences rewritten when a linking suggestion is applied. Content published with versions of
the Plugin prior to the one that introduced marking is marked when the Plugin is updated, to the
extent that those versions kept a record of it; they kept no such record for updated posts, nor for
optimized product pages that did not include frequently asked questions. The User undertakes not to remove,
alter or conceal these marks.
Allocation of obligations. The Company assumes the transparency obligations that the law imposes on it for making available the system that generates the content. Those that fall on whoever disseminates or publishes that content are the User's responsibility, in accordance with Section 9.8: the Company does not decide what is published, where, or under what byline, and cannot fulfill on the User's behalf duties that depend on that decision.
10. Third-Party Integrations
10.1. Dependence on Third-Party Services
The operation of the Platform relies on services provided by third parties and, where applicable, on integrations that the User authorizes. Those services are governed by their own terms and privacy policies, the acceptance of which is the User's responsibility where applicable. The Company is not responsible for third-party services or for their acts or omissions.
10.2. Providers on Which the Service Depends
To provide the Service, the Company uses, among others, providers of artificial intelligence, SEO/SERP data, payment processing and infrastructure. The availability, terms, performance or prices of those providers may affect the Service.
10.3. Integrations Authorized by the User
The User may connect the Platform to external services that the User owns (for example, Google Search Console) through an authorization process (OAuth). In doing so, the User authorizes the Platform to access the data strictly necessary for the feature concerned. Access credentials and tokens are stored encrypted, and the User may revoke the connection at any time from their Account or from the provider itself.
10.4. Use of Google Data
The use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including its Limited Use requirements. Data obtained from those APIs will be used only to provide and improve user-facing features and will not be used for advertising or transferred to third parties except in the cases permitted by that policy.
10.5. Changes to and Unavailability of Third Parties
If a third-party provider or service modifies, limits, suspends or discontinues its service or its terms, the Service may be affected. In that case, the Company may adapt, replace or withdraw the affected features, without this giving rise to any liability to the User beyond what is provided for in these Terms.
11. The Company's Intellectual Property
11.1. Ownership
The Platform, the Plugin, the software, the code, the designs, the interfaces, the documentation, the trademarks (including "Kaku"), the logos and the other elements that make up the Service are owned by the Company or its licensors and are protected by intellectual and industrial property law. This section refers to the Service itself; ownership of Generated Content is governed by Section 9.
11.2. License of Use
The Company grants the User a limited, non-exclusive, non-transferable and revocable license to use the Service in accordance with these Terms and the purchased Plan, for the duration of the relationship. No other right over the Platform or its elements is granted to the User.
11.3. Restrictions
The User may not copy, reproduce, modify, translate, distribute, decompile or reverse engineer the Platform or the Plugin, or use the Company's trademarks or distinctive signs without its prior written authorization, except to the extent that the law mandatorily permits it (see also Section 7.2).
11.4. Suggestions and Feedback
If the User submits suggestions, ideas or comments about the Service, the Company may use them freely to improve the Platform, without this giving rise to any obligation or consideration in favor of the User.
11.5. Reservation of Rights
All rights not expressly granted in these Terms are reserved to the Company.
12. Data Protection and Privacy
12.1. Processing of Personal Data
The processing of the User's personal data is explained in the Privacy Policy, which the User declares to have read. The Company processes data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Spanish law.
12.2. Roles in the Processing
With respect to the Account data and the payment data it receives from Stripe, the Company acts as data controller; the data that Link and Stripe collect on the payment page is processed by them as independent controllers. Where the User, by using the Service, processes personal data of third parties contained in their Sites or originating from their integrations, the User will be the controller of such processing and the Company will act as data processor on the User's behalf, under the terms of the Data Processing Agreement set out in Annex I to these Terms, which forms part of them.
12.3. Obligations of the User
The User warrants that they have a sufficient legal basis and, where applicable, the necessary consents for the personal data that they enter or process through the Service, and undertakes to inform the data subjects in accordance with applicable law.
12.4. Security
The Company applies reasonable technical and organizational measures to protect information, including the storage of passwords by means of hashing and the encryption of the Integrations' access tokens and of the second authentication factor data. However, the User acknowledges that no system is completely secure and that the Company cannot guarantee absolute security.
12.5. Retention after Termination
The retention and deletion of data after the end of the relationship is governed by Section 16 and by the Privacy Policy.
13. Availability, Maintenance and Support
13.1. Availability
The Company will use reasonable means to keep the Service available and operational, but does not guarantee uninterrupted or error-free availability, unless a service level agreement (SLA) is expressly agreed. The Service is provided as it is available at any given time.
13.2. Maintenance
The Company may carry out maintenance, update or improvement tasks that involve the temporary, total or partial suspension of the Service. It will endeavor to minimize their impact and, where reasonably possible, to give advance notice of scheduled downtime.
13.3. Interruptions Beyond the Company's Control
The Company is not liable for interruptions or degradation of the Service originating in third-party services, in the User's environment or connection, or in force majeure events.
13.4. Support
The Company offers support through the Platform's contact form and the address hello@kaku-app.site, in Spanish and in English, and will handle requests with reasonable diligence. Unless the purchased Plan provides otherwise, no specific response or resolution times are guaranteed for queries.
Complaints may be submitted through those same channels, by telephone on +34 680 300 658 or by post to the address in Section 1.1. Each message sent from the form receives an email acknowledgment with its reference number, and complaints are answered within a maximum of fifteen (15) days.
13.5. Evolution of the Service
The Service is continuously updated and evolves. The Company may add, modify or withdraw features in accordance with Sections 5.11 and 17.
14. Warranties and Limitation of Liability
14.1. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including those of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted or error-free operation. This disclaimer does not affect the mandatory legal guarantees to which a consumer User is entitled.
14.2. Exclusion of Indirect Damages
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special or consequential damages, nor for loss of profits, loss of data or content, or loss of traffic, rankings, opportunities or business, arising from the use of or inability to use the Service or the Generated Content.
14.3. Monetary Cap on Liability
To the maximum extent permitted by law, the Company's total and aggregate liability to the User for any claim related to the Service or to these Terms shall not exceed the amount actually paid by the User in the twelve (12) months preceding the event giving rise to the liability. For Users of the free plan, that limit shall be one hundred U.S. dollars (USD 100).
14.4. Exceptions to the Limit and Consumer Users
The foregoing exclusions and limits shall not apply to liability that cannot be excluded or limited under the law, such as liability arising from willful misconduct or gross negligence or from harm to the life or physical integrity of persons.
Sections 14.2, 14.3 and 15, and the exclusion of liability in the last sentence of Section 8.4, apply only to Users who contract as professionals or businesses. With respect to a consumer User, the Company is liable for the damage it causes them through non-performance or defective performance of the contract in accordance with consumer legislation, without prejudice to the User remaining responsible for the content that they decide to apply or publish (Section 9.5).
14.5. Liability for Generated Content
In accordance with Section 9, the Company is not liable for the decisions that the User makes or for the consequences arising from using, applying or publishing content generated, translated or managed by the Platform without a thorough review. In particular, the Company shall not be liable for damage to the image, reputation or brand of the User or of their clients that may result from improper use of the Service or from the lack of a thorough review of such content.
14.6. Legal Guarantee of Conformity (Consumers)
If the User is a consumer, the Company is liable for any lack of conformity of the Service that occurs or becomes apparent during the time in which it provides the Service, in accordance with Articles 114 et seq. of Royal Legislative Decree 1/2007. The consumer User may require the Service to be brought into conformity and, if this is not possible or is not done within a reasonable time, a proportionate reduction of the price or the termination of the contract. To exercise these rights, the User may write to hello@kaku-app.site. This guarantee is independent of the disclaimer of commercial warranties in Section 14.1, which does not limit it.
15. Indemnification
15.1. Obligation to Indemnify
The User shall hold the Company harmless, as well as its partners, directors, employees and collaborators, against any claim, demand, penalty, damage or expense (including reasonable legal defense fees) that a third party or an authority brings against the Company and that arises from:
- the User Content or the Generated Content that the User uses or publishes;
- use of the Service contrary to these Terms or to the law;
- the lack of ownership of or authorization for a Site (Section 8.1);
- the infringement of third-party rights, including intellectual or industrial property rights; or
- the breach of the User's data protection obligations.
15.2. Procedure
The Company will notify the User, without undue delay, of the relevant claim, and may reasonably cooperate in its defense. The Company reserves the right to assume control of the defense of matters subject to indemnification, in which case the User shall provide the necessary cooperation.
15.3. Consumer Users
The provisions of this section are without prejudice to the limits that consumer legislation imposes with respect to Users who contract as consumers, whose liability shall be limited to that which is legally enforceable against them.
16. Suspension and Termination
16.1. Termination by the User
The User may cancel their subscription at any time in accordance with Section 6, and delete their Account from their settings or by requesting it from the Company. Canceling the subscription does not in itself entail the deletion of the Account. Deleting the Account, on the other hand, immediately cancels any paid subscription it had, without a refund of the current period, and entails the deletion of its data in accordance with Section 16.4.
16.2. Suspension or Termination by the Company
The Company may suspend or cancel, wholly or partly, the User's access to the Service in the event of:
- breach of these Terms, in particular of Section 7 (acceptable use);
- non-payment of amounts due (Section 5.9);
- unlawful use of the Service, or use that endangers the security, integrity or rights of the Company, of other users or of third parties; or
- a request from a competent authority.
Where reasonably possible and proportionate, the Company will give prior notice and an opportunity to remedy; in serious or urgent cases, the measure may be immediate.
16.3. Effects of Termination
Upon termination, the User's right to access the Service and to use the Tools and the Plugin will cease. Generated Content that the User had already exported, applied or published on their own Sites will remain there, as it is owned by the User and under the User's control.
16.4. Retention and Deletion of Data
When the Account is deleted, its data is deleted immediately, except for the data that the Company must retain by legal obligation and the data that the Privacy Policy lists together with its retention period (Section 7). Therefore, a User who wants a copy of their information must request it before deleting the Account. Where it is the Company that terminates the relationship (Section 16.2), the User may request that copy within the period indicated to them when the termination is communicated, before the Account is deleted.
16.5. Survival
The provisions that by their nature must remain in force after termination—in particular those relating to intellectual property, limitation of liability, indemnification, data protection and governing law—shall remain in force.
16.6. Data Export and Switching Providers
The User may request at any time, at hello@kaku-app.site, a copy of their Account data and of the content that they have generated or saved on the Platform, in a structured, commonly used format, which the Company will provide within a maximum of thirty (30) days and free of charge. Canceling the subscription does not delete anything: the Account moves to the free plan and its data remains accessible, so the User has as much time as they need to export it or transfer it to another provider before deleting the Account.
17. Changes to the Terms
17.1. Right to Modify
The Company may modify these Terms to adapt them to legal, technical or Service changes. The version in force will be published on the Platform with its update date. Substantial changes will be communicated to the User by appropriate means with reasonable advance notice.
17.2. Acceptance
Continued use of the Service after the changes take effect implies acceptance of them. A User who does not accept them may cancel their subscription and stop using the Service in accordance with Section 6.
17.3. Relationship with Changes to the Service and the Plans
Changes to the Plans, the Quotas and prices are governed by Section 5.11, and the evolution of the features by Section 13.5; this Section 17 refers to changes to the text of these Terms.
18. Governing Law and Jurisdiction
18.1. Governing Law
These Terms and the relationship between the parties are governed by Spanish law, without prejudice to the mandatory consumer protection rules that apply to the User in their country of residence within the European Union.
18.2. Jurisdiction
For any matters arising regarding the interpretation or performance of these Terms, the parties submit to the Courts and Tribunals of Valencia, waiving any other jurisdiction that may correspond to them. However, where the User is a consumer, jurisdiction shall lie with the courts mandatorily determined by consumer legislation, which are generally those of the User's place of residence.
18.3. Dispute Resolution for Consumers
The Company does not adhere to any alternative consumer dispute resolution scheme. A consumer User may contact the competent consumer authorities and the accredited alternative dispute resolution entities; if a complaint is not resolved, the Company will indicate to the User in writing the competent entity and whether it agrees to participate in the procedure. None of this prevents the User from bringing any legal actions available to them.
19. General Provisions
19.1. Entire Agreement
These Terms, together with the documents to which they refer (Section 1.6), constitute the entire agreement between the parties with respect to the Service and supersede any prior agreement or communication on the same subject matter.
19.2. Partial Invalidity
If any clause of these Terms is declared void or unenforceable, the remainder shall remain in force, and that clause shall be interpreted or replaced by a valid one that comes as close as possible to the intended purpose.
19.3. Waiver
Failure by the Company to exercise a right provided for in these Terms does not constitute a waiver of that right or of its future exercise.
19.4. Assignment
The User may not assign their contractual position or the rights arising from these Terms without the prior written consent of the Company. The Company may assign them in the context of a corporate reorganization, merger or transfer of its business, informing the User.
19.5. Communications
Communications from the Company to the User will be made by electronic means, mainly to the email address associated with the Account or through notices on the Platform. Communications from the User to the Company shall be addressed to hello@kaku-app.site.
19.6. Language
These Terms are offered in Spanish and in English, and the User may contract in either of the two languages. The original version is the Spanish one: in the event of any discrepancy it shall prevail, unless the other version is more favorable to a User who is a consumer.
19.7. Force Majeure
The Company shall not incur liability for failure or delay in the performance of its obligations where this is due to force majeure or to causes beyond its reasonable control.
19.8. Contact
For any matter relating to these Terms or to the Service, the User may contact the Company at hello@kaku-app.site or at the address indicated in Section 1.1.
Annex I. Data Processing Agreement
This agreement governs, in accordance with Article 28 of Regulation (EU) 2016/679 (GDPR), the processing of personal data that the Company carries out on behalf of the User when providing the Service. In it, the User is the Controller and the Company is the Processor. It is accepted together with these Terms and remains in force for as long as they do.
A.1. Subject Matter
The Processor processes, on behalf of the Controller, the personal data contained in the Sites that the Controller connects and in the Integrations that it authorizes, for the sole purpose of providing the Controller with the Service described in Section 3.
A.2. Nature and Purpose of the Processing
Reading and storing the content of the Sites; analyzing that content and its link structure; transmitting to the artificial intelligence provider the content on which the Controller runs a Tool; generating new or modified content; and writing to the Site the changes that the Controller decides to apply or publish.
A.3. Types of Data and Categories of Data Subjects
The data that the Controller holds in the content of its Sites and in its Integrations, which may include identification and contact data, images of people, opinions and testimonials, and any other data appearing in that content. The data subjects are the persons to whom that content refers: customers, authors, collaborators, readers or persons mentioned on the Site.
The Service is not designed to process special categories of data (Article 9 of the GDPR). If the content of a Site includes them, the Controller must exclude that content from AI processing (Section 5.1 of the Privacy Policy) or ensure that it has a legal basis that allows them to be processed.
A.4. Instructions of the Controller
The Processor processes the data following the documented instructions of the Controller, which are these Terms and those that the Controller gives through its use and configuration of the Platform (which Sites it connects, on which content it runs each Tool, which content it excludes from AI processing and which changes it applies or publishes). If the Processor considers that an instruction infringes data protection legislation, it will inform the Controller.
A.5. Confidentiality
The Processor ensures that the persons authorized to process the data have committed themselves to confidentiality or are under a statutory obligation of confidentiality.
A.6. Security
The Processor applies the technical and organizational measures described in Section 9 of the Privacy Policy and in Section 12.4 of these Terms, appropriate to the risk of the processing (Article 32 of the GDPR).
A.7. Sub-processors
The Controller grants the Processor general authorization to engage other processors (sub-processors). Those that process the content of the Sites are, as of the date of this agreement:
- Google (Gemini API): processing of the content on which the artificial intelligence Tools are run.
- Laravel Holdings Inc. (Laravel Cloud), with its own infrastructure providers: hosting of the Platform and its database, in the European Union region of Frankfurt.
- DataForSEO OÜ: receives the title of the posts being updated that were not generated on the Platform, as a keyword with which to query the search results.
The full list of providers is maintained in Section 5 of the Privacy Policy. The Processor will inform the Controller by email, with reasonable advance notice, of any intended change to the sub-processors that process the content of the Sites, so that the Controller can object; if the objection cannot be accommodated, the Controller may terminate the relationship in accordance with Section 16. The Processor imposes on each sub-processor, by contract, data protection obligations equivalent to those of this agreement, and remains liable to the Controller for their performance.
A.8. International Transfers
Transfers of data outside the European Economic Area involving the sub-processors are covered by the safeguards described in Section 6 of the Privacy Policy.
A.9. Data Subjects' Rights
The Processor will assist the Controller, insofar as possible, in responding to requests from data subjects to exercise their rights. The Platform allows the Controller to exclude content from AI processing and to delete a Site together with all of its content. If a data subject contacts the Processor directly in relation to data from a Site, the Processor will forward the request to the Controller without delay.
A.10. Security Breaches and Other Assistance Obligations
The Processor will notify the Controller, without undue delay, of any security breaches affecting the data processed on its behalf, with the information available so that the Controller can fulfill its own obligations. The Processor will also assist the Controller, taking into account the nature of the processing and the information available to the Processor, with its impact assessments and prior consultations (Articles 35 and 36 of the GDPR).
A.11. End of the Processing
When the Controller deletes a Site or its Account, the Processor deletes that Site's data, unless a legal provision requires it to be retained. If the Controller so requests before the data is deleted, the Processor returns a copy of it to the Controller in a structured, commonly used format (Section 16.6). The technical remnants that Section 7 of the Privacy Policy lists together with their retention period—logs, failed jobs, cached copies and backups—disappear when that period ends. The content already written to the Controller's Site remains there, under the Controller's control.
A.12. Information and Audits
The Processor will make available to the Controller the information necessary to demonstrate compliance with this agreement, and will allow for and contribute to audits, including inspections, conducted by the Controller or by an auditor mandated by it. Audits shall be requested with reasonable advance notice and carried out during business hours without affecting the Service for other users, and their cost shall be borne by the Controller.
